Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CORe Inc. ("Company," "we," "us," or "our") governing your access to and use of the Nefia remote PC management gateway service, including any related software, applications, and websites (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of the Service

Nefia is a remote PC management gateway that enables operators to securely manage target PCs (macOS, Linux, and Windows) through encrypted WireGuard VPN tunnels. The Service provides command execution, file management, and workflow automation capabilities with policy guardrails, session sandboxing, and audit trails. The Service includes an operator CLI, a target-side agent, an MCP server interface for AI agent integration, and a web dashboard for account and device management.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Payment

4.1 Plans

The Service is offered under multiple subscription tiers (Free and Team), each with different device connection limits. All plans include the same feature set; plans differ only by the number of connected hosts.

4.2 Billing

Paid subscriptions are billed on a monthly basis. You authorize us to charge your designated payment method for recurring subscription fees. All fees are quoted in U.S. dollars and are non-refundable except as required by applicable law.

4.3 Changes to Pricing

We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Access or manage computers or systems without proper authorization.
• Distribute malware, viruses, or other harmful software.
• Engage in unauthorized data collection, scraping, or surveillance.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or its related systems.
• Use the Service for any illegal, fraudulent, or abusive purpose.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms.

6. Intellectual Property

The Service, including all software, documentation, designs, trademarks, and content, is owned by CORe Inc. and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain ownership of all data and content that you transmit or manage through the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORE INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless CORe Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may terminate your account at any time by contacting us or through the account settings in the web dashboard. We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination (including limitations of liability, indemnification, and governing law) will continue in effect.

12. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We may also update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

14. Dispute Resolution and Jurisdiction

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance. The parties irrevocably consent to the personal jurisdiction and venue of said court.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and CORe Inc. regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
